Pine Gate Renewables (PGR) is looking for an attorney to lead its in-house real estate contracting efforts and work closely with the other members of PGR’s Real Estate team.  We are looking for someone who is extremely attentive to detail and a problem-solver.  This position will operate in a fast-paced environment which will require effective communication with both internal and external parties.  This position will report to the Assistant General Counsel and will be located in one of our North Carolina offices (Charlotte or Asheville).  We will consider remote work situations depending on relevant work experience.   

What You'll Do

  • Draft, edit and negotiate real property agreements related to utility-scale renewable projects including land options, leases, assignments, easements, estoppels, purchase and sale agreements, notices of intent, deeds, affidavits and other real estate related contracts
  • Support real estate concerns in the acquisition and financing efforts of PGR including participate in discussions and negotiations related to real property issues raised by banks, lenders and other third parties
  • Maintain, and update as necessary, the company’s database of real property forms, such as option agreements, leases, easements, notices, letter agreements, master service agreements
  • Assist in corporate related contracting for the real estate department, including review and negotiation of engagement letters, master service agreements, NDAs, task orders and similar third-party engagements
  • Coordinate and manage the workload of real estate legal issues for PGR, including management of internal colleagues and the use of outside counsel

Must-Haves

  • At least three (3) years of experience working on real property transaction and financial closings, preferably in the renewable energy sector
  • Deep knowledge of legal and contractual issues governing real property rights
  • Demonstrated success in drafting, reviewing and negotiating lease agreements, options to lease, real property purchase agreements and easements 
  • An entrepreneurial attitude towards development and problem solving
  • Proven ability to effectively communicate with internal and external stakeholders

Nice-to-Haves

  • Experience working on tax equity structures within solar energy
  • In-house counsel experience
  • Prior experience with title curative activities in connection with project financing
  • Working knowledge of mineral right considerations in land use
  • Knowledge and experience in domestic energy markets

Education

  • JD from an accredited law school
  • Active license to practice law in at least one U.S. jurisdiction

Working Environment and Physical Demand

  • Fast paced environment requiring ability to simultaneously balance many assignments
  • Ability to work independently and raising issues for the broader legal team as appropriate
  • Some travel may be required
